Legal Specialist (Public Private Partnerships) - Freetown

(date when the selected candidate is expected to start)Duration of Initial Contract :As the efforts to reform Sierra Leone’s investment climate and help generate foreign and local investment have borne fruit, the number and scope of incoming investment proposals have increased exponentially. These proposals often take the form of Public Private Partnerships (PPPs), with the Government of Sierra Leone being asked to contribute rights or assets owned by the state into an enterprise to initially be controlled by the investor which aims to provide public services or the building of infrastructure such as roads, bridges or airports at no additional cost to government.While private sector led growth is central to government’s poverty reduction strategy, diligence is required to manage the global investment community’s growing interest in Sierra Leone and to protect the country’s interests. Public Private Partnership transactions are complex by their nature, and Government of Sierra Leone does not today have the expertise within government to identify non-market and overly aggressive terms and significant future contingent financial liabilities that may be buried deep in complex transactional contracts. Transactional expertise is urgently required to assist Government of Sierra Leone in separating ‘good’ deals from ‘bad’ deals and to negotiate transactions on government’s behalf.In a bid to professionalize the process by which Public Private Partnerships are established, the Government of Sierra Leone has prepared a Public Private Partnership policy and framework, which was passed by the Cabinet of Ministers on November 13th 2009. The framework provides for Government of Sierra Leone to process bids both solicited and unsolicited from start to finish including implementation of feasibility studies for deals and negotiation of contracts. The government has also drafted a Public Private Partnership Act that among other things will establish a Public Private Partnership Unit providing technical support and quality assurance for major Public Private Partnership investment deals across the various arms of government. In order to help capacitate the Government of Sierra Leone Private Sector team, including the Public Private Partnership Unit once established, and given the lack of transactional and Public Private Partnership experience in Sierra Leone, the government has requested support from United Nations Development Programme in the form of a commercial legal adviser experienced in Public Private Partnership type transactions to build the capacity of junior staff and a local counterpart who will be recruited to serve as a long-term commercial Public Private Partnership lawyer. The advisor is expected to contribute to the process in a conceptually innovative manner and will identify legal-related priorities, problems and issues to be addressed and propose corrective actions to achieve the government’s Public Private Partnership goals.

The Commercial Legal Advisor will be based in State House and work directly with the Government of Sierra Leone Private Sector Development Team under the overall supervision of the United Nations Development Programme Economic Advisor. 

Summary of Key Results:

The preparation, management and conclusion of live Public Private Partnership deals supported, as relevant;Provide leadership in legal analysis, contract negotiation and execution with respect to Public Private Partnership transactions in partnership with Private Sector Advisor and Ministries, Departments and Agencies, on behalf of Government of Sierra Leone;Government of Sierra Leone Private Sector Development team and Public Private Partnership Unit as well as relevant counterparts in other line Ministries, Departments and Agencies (Ministries, Departments and Agencies) capacitated under the Capacity Development Plan as we as through hands-on training in the course of live Public Private Partnership processes;Facilitate regional exchange of relevant knowledge and experiences, with support from the United Nations Development Programme Regional Programme as relevant.

Functions:

Provide leadership in legal analysis, contract negotiation and execution with respect to Public Private Partnership transactions in partnership with Private Sector Advisor and Ministries, Departments and Agencies, on behalf of Government of Sierra Leone;Represent the Government of Sierra Leone Private Sector Team when engaging with relevant line Ministries, other Government of Sierra Leone counterparts, donors and private sector stakeholders;Initially assist in startup and build out of legal capacity of Public Private Partnership focal points in Private Sector Advisor;Coordinate the day-to-day legal work of the Public Private Partnership focal points and report directly to the head of Private Sector Advisor;Manage and develop the legal capacity of permanent Private Sector Team member(s);Ensure that Private Sector Team members work within Private Sector Advisor remit and that both Private Sector Advisor and United Nations Development Programme reporting requirements are met;Document key work processes and lessons learned as cases for training purposes;Facilitate regional exchange of relevant knowledge and experiences, with support from the United Nations Development Programme Regional Programme as relevant;Liaise with other stakeholders and development partners working in related areas;Keep United Nations Development Programme informed of progress and important developments; Capacity Development Plan for commercial transactions skills designed and implemented;Government of Sierra Leone Private Sector Development team and Public Private Partnership Unit as well as relevant counterparts in other line Ministries, Departments and Agencies (Ministries, Departments and Agencies) capacitated under the Capacity Development Plan as we as through hands-on training in the course of live Public Private Partnership processes.Core business processes developed and formalised into guidance notes, e.g. for:Tendering of Public Private Partnership bids;Due diligence/scrutiny of investors and proposals;Cost/benefit analysis of Public Private Partnership proposals;Negotiation of Public Private Partnership agreements and key legal points to observe therein;Contracting/drafting of legal text to formalise agreements;Arbitrage/resolution of legal disputes;The preparation, management and conclusion of live Public Private Partnership deals supported, as relevant;Weaknesses in the current legal and regulatory framework related to Public Private Partnership deals identified and recommendations made for strengthening it.The key results will have an impact on the economic future of Sierra Leone by directly supporting the President’s private sector driven development agenda and building the critical national capacities needed to attract, negotiate and manage large scale investment to the country. It will help the government avoid investment deals being entered into through processes that lack sufficient awareness, legal capacities and procedural structure to ensure consistently beneficial outcomes for the county and its people.

Education:

Masters or equivalent in Law or greater.

Experience:

At least 7 years of relevant experience in providing international legal advice to corporate, investment banks and other financial institutions on public and private mergers and acquisitions, corporate restructurings, corporate governance, initial public offerings, equity issues, projects and tax;Experience with government transactions, privatizations and Public Private Partnerships a plus;Knowledge of and experience with results-based management methodologies and tools (project and programme management, design, monitoring and evaluation); Experience working in emerging/frontier markets is desirable; andExperience working with Governments in Less Developed Countries is highly desirable.Excellent written and spoken English.

Chief of Section, Risk Management and Legal Service

Under the overall supervision of the Chief Executive Officer, the incumbent will be responsible for the leadership and management of the Risk Management and Legal Service (RMLS) and will provide advice and strategic guidance to the CEO and senior management on UNJSPF plan design issues, risk management, legal and compliance matters. Specifically, the incumbent will be responsible for the following:

1) assisting the CEO in the management of the technical aspects of the plan design of the Fund, including providing advice, direction and strategic planning on legal and compliance issues, actuarial processes and in all related matters of the Pension Board, as well as recommending appropriate strategic policy directions; ensuring that all plan design issues are appropriately and adequately dealt with;

2) liaising and representing the CEO in dealing with current issues and concerns made by the major stakeholders of the Fund, including representatives of intergovernmental bodies; ensuring senior level coordination and consistency in the application of Funds polices; establishing and maintaining good working relations with legislative bodies on matters related to the Plan design, risk management and the status of the Fund;

3) Developing, contributing and coordinating position papers, studies and documents for senior management and intergovernmental bodies. This will include providing briefings and preparing other documents requested by legislative bodies and others as well as liaising with oversight mechanisms; The incumbent will ensure that the outputs produced by the Service maintain high quality standards and are consistent with existing policies;

4) Directing and managing both the Risk Management and Technical Analysis Section, as well as the Legal and Compliance Section; supervising both Sections responsibilities, providing guidance, direction and supervision of staff, regularly liaising with the Consulting Actuary, the Committee of Actuaries and other advisors;

5) Overseeing the development and implementation of the Funds enterprise wide risk management structure and internal control framework; directing and managing the Funds centralized functions with regard to oversight mechanisms;

6) The incumbent performs other related duties as required.

Education

Legal education is desirable. A first-level university degree in combination with additional two years of qualifying experience may be accepted in lieu of the advanced university degree.

Work Experience

A minimum of 15 years of progressively responsible experience in the field of pension/social security, human resources management, programme management or international law is required, including at least 5 years of pension experience in the public sector at the international level. Experience in working with designed benefit pension plans required. Managerial experience in supervising an office, unit or section is required. Experience in conducting liaison with Member States, institutions and individuals is desirable. United Nations experience, preferably in administration, social security/ pension matters or human resources management is desirable.

Languages

English and French are the working languages of the United Nations Joint Staff Pension Fund. For this post, fluency (both oral and written) in English is required. Knowledge of French is desirable.

Legal Advisor

Under the overall supervision of the IPAS Manager, and the Regional
Practice Advisor's direct supervision, the incumbent will work closely with HQ-based
units to provide everyday support and solutions to corporate implementation
initiatives. The incumbent would have to keep a balance between operational
implementation efficiencies and policy/rules requirements, but also contribute
towards long-term solutions by leading the development and improvement of
policies and processes for efficient project implementation.

The incumbent will undertake a number of core functions, including providing legal advice on institutional and
commercial matters, clearing UNOPS documents where such legal clearance is
required, and managing claims and disputes brought against the organization by
contractors and third parties. The incumbent will lead the development of
organizational directives and administrative instructions at the request of the
relevant Practice Lead. He/she will be expected to work independently and drive
several initiatives with limited supervision.

Specific Job Functions:

Advice and Support to Headquarters-based units:

* At the request of the relevant Practice
Lead, lead the development of organizational directives and administrative
instructions;

* Review and draft contracts and
agreements both with vendors and clients;

* Assist in handling disputes and claims
with contractors and third parties;

* Support the implementation of UNOPS

Education/Experience/Language requirements

* Strong knowledge of corporate operational processes, in HQs and in Operational Centers, is desirable;

* Broader experience within more than one management practice is desirable;

Legal Officer Undp/Gender Equality Project II

Under the direct supervision of the Gender & Justice Specialist of GEP, the Legal Officer will contribute and support GEP II at project level toexecute activities defined by the Gender & Justice Specialist in accordance with the Annual Work Plan, Quarterly Work Plans and project document; Further, he/she coordinates their implementation and systematically manages legislative issues in collaboration with Programme Unit at UNDP Country Office. The Legal Officer develops and maintains strategic partnerships with government, traditional and emerging donors, private sector and Civil Society Organizations (CSO). Summary of Key Functions: Project activity implementation; Monitoring & Reporting; Project Development and Partnership Building; Public relations and outreach. Facilitates knowledge building and knowledge sharing Project Activity Implementation: Support MoWA’s Legal Department to undertake gender analysis of legislation and its review process; Develop linkages with legal department of MoJ and the Parliament and the CSO (for increased involvement) as well as other regional networks; Provide advisory and technical support to LHC to organize legal support in a structured and professional manner through the linkages with existing legal clinics, AIBA, and LAGF; Develop conceptual framework for the system of documentation and recording of cases, data collection and analysis. Ensure proper functioning of this system in LHCs. Assist the Gender & Justice Specialist preparing Annual Work Plans and Budgets on the basis of project document; Identify potential project partners and beneficiaries (including state institutions and CSOs) when not yet identified in project document; Participate in regular unit meetings and provide assistance, advice and implement activities; Contribute to implementation of all Unit activities approved under project’s AWP. Coordination of Access to Justice and Human Rights (JHR) activities with other relevant national and international entities; Assist in negotiating and formalizing partnership agreements for implementing project activities; Assess capacities and needs (technical, operational) of partners and beneficiaries to achieve planned activities Prepare concept notes, training materials, requisition for services and proposals and terms of reference needed for the timely execution of project activities; Provide technical support to project partners, beneficiaries and other project staff; Provide operational advice to project partners for the implementation of activities; Provide operational and programmatic support in organizing events-seminars, trainings, workshops and conferences; Provide technical support in recruitment of professional services, implementation of activities carried out by Implementing Partners; Ensure timely and sufficient information-sharing on project implementation with GEP’s regional coordinators, project partners and field project staff and maintain close communications with them; Mobilize UNDP/GEP’s operations department as required for timely implementation of project activities and pending operation issues; Review national legislation for compliance with international human rights norms and standards and for law reform, including GBV Laws and provisions and international instruments; Incorporate gender issues in the implementation of capacity building activities for legal professionals (MOHRA, MOWA, Prosecutors and legal aid providers) in coordination with Gender & Justice Specialist; specifically including rights of women in to the training modules, training sessions and acting as resource person; Occasional written translation or interpretation to assist project staff and consultants; Provide other administrative or technical support to Gender & Justice Specialist and the project as per the needs. Monitoring & Reporting: Keep track of unit progress against indicators defined in the results framework; Monitor the activities of services that are provided by Implementing Partners; Keep developing project indicators and methods of collection; Ensure timely submission of reports on field activities by project field staff and beneficiaries / contractors; Compile data needed for regular project reports by Gender & Justice Specialist and contribute to drafting regular progress reports for donors. Project Development and Partnership Building: Keep abreast of important developments in the gender and justice related sector through contacts, media, reports & academic research; Develop networks with CSOs, judiciary & government departments as well as with international / national sponsors of civil society in order to raise profile of UNDP/GEP’s assistance to promotion of gender awareness and civic engagement in women empowerment and human rights; Maintain good and productive relations with UNDP CO, Regional Coordinators and all stakeholders and partners involved with UNDP/GEP; Public relations and outreach: Work with UNDP communications unit to ensure strong visibility of GEP II and gender and women empowerment; Present the component activities and its achievements in conferences, seminars and to the media when necessary; Maintain media monitoring on all related sponsored activities; Accurate project support including monitoring, operations, reporting and partnership building in order to ensure effective implementation of the project. A client-oriented and efficient approach impact on the image of UNDP in the country. Facilitates knowledge building and knowledge sharing as required by the organization, focusing on the following results: Identification and formulation of lessons learned and recommendations to be integrated into broader GEP’s knowledge management efforts. Contributions to knowledge networks and communities of practice. Identification, documentation and sharing of new partnership strategies, models and approaches. Impact of results: The key results have an impact on the accurate project support including monitoring, operations, reporting and partnership building in order to ensure effective implementation of the project. A client-oriented and efficient approach impact on the image of UNDP in the country.

International Consultant to Develop Study on Legal Status of Centre for Sustainable Development


The end result of assignment will be a study outlining possible options for the legal status of the Centre for Sustainable Development. Based on the analysis of the best international practices in this area and especially taking into account legal status of similar institutions and experiences related to that, the study should provide an overview of possible options for legal status of the Centre. For each of the alternatives, key features of the institution’s legal status – type of the institution under the law, governance structures of the institutions, funding sources, reporting obligations, etc. – should be outlined, major pro and cons described, and main risks identified. With these in mind as well as taking into account Montenegrin context, the mission of the Centre and its functions the study should come up with a suggested most appropriate option. The study should take due account of the possibility that the Centre could/would transform over time from a national into a real regional institution and therefore, its legal status should allow for that.

Job content:

The task of the International Consultant will be to research, investigate, and analyse legal status of similar institutions and based on that suggest an option for the Centre for Sustainable Development as an independent institution, taking into account its regional aspirations.

The International Consultant will also be responsible for providing overall leadership, guidance and support to the national technical expert in effectively undertaking the required surveys and preparatory field work, establishing dialogue and a working relationship with stakeholders and in timely delivering the agreed documents.

Under the overall guidance of the Centre for Sustainable Development Manager, UNDP CO, Centre’s Steering Committee and in coordination with the national consultant, the International Consultant (acting in his/her individual capacity) will be tasked with the following duties and responsibilities:

* Analyze the baseline data on current national legal framework relevant for establishment of centers of excellences, research institutions and similar entities;
* Research and analyze the existing international legal framework relevant for establishment of centers of excellences, research institutions and similar entities;
* Collect and factor in the analysis the international best practices and lessons learnt in the implementation of similar projects i. e. those related to the legal status of independent institutions of similar focus;
* Review baseline information delivered by the local expert;
* Draft the situation analysis – focusing on the Montenegrin legal context as well as sustainable development governance challenges, capacity and data gaps;
* Review and analyze the description of barriers to the effective establishment and functioning of CSD and develop a set of measures to remove the identified barriers;
* Conduct stakeholders mapping, consultations and capacity gap assessment including some for the regional dimension;
* Prepare overview of possible options (at least three) for legal status of the Centre - taking into accounts its mission, vision and functions, national context and regional aspirations. The overview of the options should include SWOT analysis for each option. Also, each option/scenario should include key features of the proposed institution’s legal status: type of the institution under the law, governance structures of the institution, funding sources, reporting obligations, description of the major pros and cons, and identification of main risks.
Timing and reporting:

The International Consultant must ensure timely preparation and submission of the Study. All reports must be submitted in English to the UNDP CO in Montenegro /Centre for Sustainable Development Manager.

Time duration and travel:

In the course of the assignment, the consultant will be expected to undertake one mission to Montenegro. The mission will last for five days. The date for this mission will be agreed upon between the consultant and UNDP-Montenegro.
